QIAGEN N.V. agreed on October 21st, 2026 to a recommended voluntary all-cash public takeover offer from the EQT XI fund at €46.50 per share. That price is a 40.3% premium to QIAGEN's closing price of €33.15 on July 8th, 2026, the last trading day before reports of private equity interest emerged, according to the joint press release filed with the SEC as an exhibit to QIAGEN's Form SC14D9C.
The company's own ad hoc announcement puts the transaction at approximately €10.8 billion in enterprise value, or roughly $12.1 billion at then-current exchange rates, including about $1.1 billion of net debt.
What happened
The bidder is Crown NL Bidco B.V., a holding company indirectly controlled by the EQT XI fund. Co-investors hold further indirect participations: Luxinva S.A., a wholly owned subsidiary of the Abu Dhabi Investment Authority, and CPP Investment Board Europe Inc., a wholly owned subsidiary of Canada Pension Plan Investment Board.
QIAGEN's Supervisory Board and Managing Board unanimously approved the Business Combination Agreement and agreed to recommend that shareholders tender, with the formal position statement to follow once the bidder publishes its offer document. The offer is conditional on a minimum acceptance threshold of 50% of outstanding share capital plus one share, on resolutions at an extraordinary general meeting, and on merger control and foreign investment clearances, with closing expected in mid-2027.
EQT Private Equity has secured committed equity and debt financing and the offer carries no financing condition. Investing.com, citing the press release, named Morgan Stanley, Jefferies, Deutsche Bank, SMBC, Crédit Agricole and UniCredit as bookrunners and mandated lead arrangers on the debt.
Why the numbers differ by outlet
Two headline figures are circulating and both are defensible. QIAGEN's filing and MarketScreener cite €10.8 billion as enterprise value, while Reuters, carried via Euronext, and Bloomberg described the deal as worth about €9.6 billion, or roughly $10.78 billion, as an equity value.
Premiums vary the same way, depending on the reference date. QIAGEN's filing cites 40.3% against the unaffected July 8th, 2026 close and a 46.9% premium to the three-month volume weighted average price through that date, per summaries from RTTNews and TradingView. Reuters calculated an 8.6% premium to QIAGEN's last close of €42.82 before the announcement.
Reuters reported that the US-listed shares of QIAGEN rose 0.7% in extended trading after the announcement. Private Equity Wire reported the shares rose as much as 6.2% in Frankfurt the following day. The stock had already re-rated on takeover reports since July, which is the context the filings supply for a muted move. Supervisory board chairman Stephen Rusckowski told Reuters that going private was the best path forward for Qiagen, its shareholders and other stakeholders.
What the record shows
QIAGEN has been here before. Thermo Fisher Scientific agreed in 2020 to acquire the company in a deal valued at about $11.5 billion, and that offer lapsed on August 13th, 2020 after only 47.02% of shares were tendered against a 66.67% minimum threshold. QIAGEN paid Thermo Fisher a $95 million expense reimbursement, per Thermo Fisher's 8-K and MedTech Dive.
The acceptance bar this time is lower: 50% plus one share, rather than two thirds. One housekeeping point for anyone searching tickers: the EQT in this deal is EQT AB of Stockholm, whose affiliates manage and control EQT Private Equity. It is not the US-listed EQT Corporation.
What to watch
Three dated steps sit between here and closing: publication of the bidder's offer document, the boards' position statement, and the extraordinary general meeting, followed by merger control and foreign investment clearances. Closing is expected in mid-2027.
The same October 21st, 2026 disclosure also covered preliminary third quarter 2026 results and the suspension of QIAGEN's full-year 2026 outlook, per the title of the ad hoc announcement filed with the SEC. The specific quarterly figures were not captured in the sources reviewed for this story, so what the suspension reflects is not yet established here.
Reporting for this story comes from SEC filings by QIAGEN and Thermo Fisher Scientific, QIAGEN's corporate newsroom, Reuters via Euronext, Bloomberg, Private Equity Wire, Investing.com, RTTNews and MedTech Dive, dated October 21st, 2026.
