Strategy Inc disclosed that Andrew Kang, executive vice president and chief financial officer, informed the company on October 26th, 2026 of his intention to resign effective November 5th, 2026. The disclosure arrived in the same Form 8-K, filed October 29th, 2026, that carried the company's third quarter results: operating income of $21 billion and diluted earnings of $44.75 per share, which the company's own release calls the largest operating income in its history.

CoinDesk reported that MSTR common shares fell 6.4% in pre-market trading on Friday, October 30th, 2026. The stock had closed on Thursday, October 29th, 2026 at $141.62, down 2.44% on the day, before the results were released after the closing bell.

What happened

The 8-K lists the date of earliest event reported as October 26th, 2026, and identifies Kang as the company's principal financial officer and principal accounting officer. The filing states that his decision is due to personal reasons and is not the result of any disagreement with the company on any matter relating to its operations, policies or practices. Kang will stay on as a non-executive employee in an advisory capacity through December 31st, 2026.

Because the resignation was bundled with the Item 2.02 earnings announcement, the notice and the record quarter became public at the same moment. CoinDesk described the disclosure as a Thursday filing and reported that Kang informed Strategy on October 26th, 2026.

Why it moved, and what is not established

The 6.4% figure in the CoinDesk headline refers specifically to pre-market trading. Other outlets reported smaller immediate moves. Benzinga put the stock down 3.51% to $136.65 in Thursday's extended session and separately noted a 2.19% after-hours decline, while Seeking Alpha via TradingView had shares 1.00% lower at $140.20 post-market. stockanalysis.com showed an after-hours quote of $133.47, down 5.75%. No source located confirms a 6% decline in a completed regular session on October 30th, 2026; Robinhood's page showed an intraday range of $133.36 to $144.76 with the stock at $132.50 at the time of that snapshot, and no official Friday closing print was found.

The facts do not establish that the resignation caused the drop, and several other things were moving at once. Bitcoin was down roughly 1.7% to 3.2% over the same 24 hours, with Benzinga citing BTC at $78,522.77 and CoinDesk quoting $77,965.76. Strategy's year to date BTC yield was negative 3.7%, with a $2.03 billion dollar-measured loss on the bitcoin position year to date, per KuCoin and AMBCrypto, and Benzinga noted MSTR was already down nearly 7% year to date and more than 44% over 12 months. The filing itself offers no reason beyond personal ones. See MSTR for the full record.

What the record shows

The quarter was driven by a $20.91 billion gain on digital assets. Net income figures differ by source: Strategy's release cites $19.12 billion attributable to common stockholders, KuCoin's wire summary and bitcointreasuries.net report $19.53 billion, or $44.75 per diluted share, against $2.79 billion and $8.42 a share a year earlier, and GuruFocus's earnings call summary cites $19.1 billion.

The software business was softer. Revenue was $125.4 million, down 3% from $128.69 million a year earlier and short of the roughly $127.2 million analyst consensus, according to Benzinga and KuCoin, while Seeking Alpha via TradingView said the $44.75 diluted EPS came in above a Visible Alpha consensus of $16.54. Strategy reported holdings of 848,517 bitcoin as of October 25th, 2026, up 26% year to date, with $14.33 billion of bitcoin purchased and $21.23 billion of capital raised year to date.

What to watch

Succession is already set out. Chief executive Phong Le will serve as principal financial officer and head the finance organization from November 5th, 2026, and Reza Virasteh, executive vice president of operations, becomes chief financial officer on January 1st, 2027, sharing the principal financial officer role with Le. Cointelegraph, Decrypt and bitcointreasuries.net reported the split: Le covering bitcoin strategy, capital markets, treasury and investor relations, Virasteh covering the software business's finances.

One more detail from the move itself: CoinDesk reported the STRC preferred was flat at $99.45 while the common fell.
